BSOD-Physical Memory Dump-Why?

Good evening everyone.

When trying to install Windows XP after the HDD crash (new
HDD) I can only come as far as entering my key no. after
which (shortly) I get the Physical Memory Dump
0X0000008E (0XC000005,0X40786646, 0XF9BF0C48,0X000000).
The System is running P4 CELERON 1.8 GHZ WITH 256mb PC2100
DDR, VIA P4X266A Mainboard and a NVidia GeForce 4 440MX
Video Card. Anyone having any suggestions ??? Help is
appreciated.
