If past history is an indicator, Yes.
But you will need to insert the CD of the qualifying operating system for a
few moments to verify eligibility.

Yes you will be able to install it clean from an upgrade verson, in fact that
is the only way I would do it. Upgrades are just begging for problems.

Not sure yet what previous versions will be accepted as qualifying media
though.
Certainly XP will, most likely 2000 will be accepted.

Maybe I don't understand proper English, However, UPGRADE means you would be
upgrading from a previous verison of Windows - 95, 98, 98SE 2000, Me, XP
etc. If you were to Reformat your hard drive and tried to upgrade, you would
be told no OS dected, and would not be able to go any further.
You can do a full install with an existing OS already on the HD, all your
data would be lost. You can also reformat the HD then do a full install.

Incorrect, you will be asked for qualifying media and the Clean Installation
will continue after verified.

In the past with windows XP, and Vista will probably be the same.
An upgrade CD can perform a clean or upgrade installation..
A full CD can also perform an upgrade or clean installation.

Essentially the capabilities of an upgrade or full CD are identical with a
small difference.
If you are performing a Clean Installation with the upgrade CD, a few
minutes into the upgrade, you will be asked to insert the qualifying media
for proof of eligibility for the upgrade.

Just because it is labelled "Upgrade" does not limit it to upgrade only,
that only means it is intended as an upgrade and as such is sold at a
cheaper price.
