Install fails on driver but cannot start in safe mode

During Windows XP upgrade from Win 2000, the Windows Setup program fails
during the install while downloading drivers.
It restarts itself, but the same problem occurs.

I have tried F8 to start in Safe Mode, but get a message that Windows Setup
cannot run in Safe Mode, and it reboots.

How can I either:
1) disable the driver (ctoss2k.sys) to complete the install
or
2) backout the install?
