Modem Problem USR 2976

Hello, I have a problem and I didn't see any posts on it (if there were, my
news program didn't download them)

Anyway i have a USR 2979 OEM modem, it installs, but has a yellow ! on it
saying that some driver or service is already providing something and it
can't start, i downloaded the drivers from USR's site but still didn't work.

Any ideas?
