Please keep in mind this is the setup password, not the system password. I
have even done a clean install of xp and there is still a setup password. I
have not created a setup password. Please help

Do you mean the BIOS password?
If so that is a motherboard issue and has nothing to do with your operating
system.

If you have a desktop computer, you probably have a jumper you need to move.
If you have a laptop, you may need to send it in for service.
Check your motherboard/computer manual and/or contact the manufacturer for
details.

No, this is not the BIOS password. It is a setup password. I can log on to
windows, I just cannot do a Flash Bios upgrade.

Setup password for what?
If it is not the Windows password, it has nothing to do with Windows.
If it is not the BIOS password, it is not related to the BIOS.
BIOS is sometimes called "Setup".

But if it is neither, you have an unusual 3rd party function going on and
without a detailed description of exactly what is happening it will be
difficult for anyone here to help.

Flash BIOS upgrades are not usually performed from within Windows.
Have you contacted the manufacturer for the hardware you are attempting the
flash upgrade?
