Stop 0x7B error on Vista upgrade from XP

Getting a bluescreen and stop error when i try to run the upgrade from a
current install of xp to vista, it starts the upgrade fine, loads up all the
files and such then does the required reboot and thats when it gives the
bluescreen.

When I reboot the machine, it gives me the 2 options of 1) earlier version
of windows 2) vista setup.
If i try the setup, still gives me the error, if i go previous verison, boot
up into xp with no problems at all.

I even tried removed the upgrade files and try again and the same problem
happens.

Latest drivers and bios are applies as well on the xp side
