sysprep fails after factory mode

When i put my image into factory mode and reseal it, it will not boot
and hangs on the MUP.SYS or AGPCPQ.SYS file. If I sysprep it without
using factory mode it appears to work fine. What is going on? Any
ideas why this is happening? I am sysprepping to the exact same PC!
