Upgrade canceled 0x80070005

went into my digital locker to start upgrade to windows ultimate from home
premium. I put in anytime time upgrade disk, and followed prompts. The
upgrade went up to expanding files and then upgrade was canceled. pop up
window read, " windows cannot install required fields. Network problems mat
be preventing windows from accessing the file. Make sure the computer is
connected to the network and restart the installation. ERROR CODE
0x80070005."
computer was connected and restarted, upgrade was canceled again. What is
happening? How do I successfully upgrade to windows ultimate?
