The DUA Script Compiler is a seperate tool developed internally at MS. Youcan download it from the XPe downloads site:

link to Aaron Stebner's weblog where you can download the tool and doc.

dusc.exe is part of the Tools msi - it will be placed in preogramFiles\Windows Embedded\bin folder after running the Embedded Tools setup.
