In order to perform an upgrade, you will need the "retail upgrade version"
of Windows XP Professional. An OEM version will not perform an upgrade.

Rob,

With the XP CDROM in the CDROM drive boot your computer
from the CDROM. Then just follow the prompts and the
upgrade proceeds.

The downside to this approach is that you have to
reinstall all your applications. Don't forget to backup
all your data files and export your browser favorites and
cookies before starting.

You cannot upgrade from Windows 2000 to Windows XP Home. That upgrade
path is only supported with Windows XP Pro version.
You should make a full system backup of all the files you want to keep on
the Windows 2000 computer, boot from either your Windows 2000 CD or from a
set of recovery disks (available from Microsoft for download), and reformat
the hard disk before installing Windows XP Home clean. You will need to have
a copy of a Windows 98 CD or a Windows Me CD in order that your XP Home
Upgrade CD can read some files and determine you own a qualifying upgrade
product.
